1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Traders Wallet website, services, mobile application, and related software (collectively, the "Service"), which is operated by East Rand Trading (PTY) Ltd ("Company," "we," "us," or "our"), registration number (2024/077047/07), a company registered in South Africa.

By accessing, registering for, or using the Service, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

• "Shift Coin (TWSC)": The digital asset/NFT provided through the Service, the value of which is derived from the performance of a portfolio of CFD trading accounts.
• "Content": All information, text, graphics, data, and other materials displayed on or through the Service.
• "User Account": Your personal account with Traders Wallet.

3. User Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Possess the legal capacity to enter into a binding contract.
• Be a resident of a jurisdiction where using the Service and holding assets like TWSC is permitted by law.
• Provide accurate, current, and complete information during registration.

4. Nature of Service and High-Risk Investment Warning

4.1. Not Financial Advice

The content provided on the Service is for informational purposes only and does not constitute financial, investment, trading, or any other form of advice. You are solely responsible for your investment decisions.

4.2. High-Risk Warning

Trading Contracts for Difference (CFDs) and investing in performance-backed digital assets like Shift Coin (TWSC) is highly speculative and carries a significant risk of loss. You should not invest money you cannot afford to lose. The value of TWSC can fluctuate dramatically and you may lose some or all of your invested capital. Past performance of the underlying trading strategies is not a reliable indicator of future results.

5. User Account and Security

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account.

6. Intellectual Property

All intellectual property rights in the Service, including the Traders Wallet and Shift Coin names, logos, and all source code, databases, and content, are owned by or licensed to East Rand Trading (PTY) Ltd. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

7. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the Service.
• Interfere with or disrupt the Service or servers connected to the Service.
• Use any robot, spider, or other automated means to access the Service.

8. Fees

The Company charges fees for certain actions, including but not limited to minting (buying), transacting (P2P sending), and redeeming TWSC. All applicable fees will be clearly disclosed to you within the Service before you confirm a transaction. By proceeding with the transaction, you agree to pay the stated fees.

9. Limitation of Liability

To the fullest extent permitted by applicable law, East Rand Trading (PTY) Ltd, its directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• The performance or non-performance of the underlying CFD trading accounts backing TWSC.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Service.

10. Indemnification

You agree to indemnify and hold harmless East Rand Trading (PTY) Ltd and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) made by any third party due to or arising out of your breach of these Terms, your use of the Service, or your violation of any law or the rights of a third party.

11. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any change constitutes your acceptance of the new Terms.
